A Message from the Board Chair

As Chair of the Board, I warmly invite you to attend the Cooperative Memorial Society’s 2026 Annual General Meeting (AGM). The AGM is your opportunity as a member to hear directly from the Board, review the Co-op’s work, and take part in important governance decisions.

This year, members will be asked to vote on
Board-recommended updates to the Articles and Bylaws—key documents that guide how your Co-op is governed. 
After careful review, the Board believes these updates will strengthen CMS’s governance while preserving our mission, values, and member-owned structure. Your participation and vote are vital to the health and future of our cooperative.

​We encourage you to review the AGM materials posted on this page and join us on February 28, 2026, 1:00 PM by Zoom. We require 50 members at the meeting for quorum. Thank you for being an engaged CMS member.

2026 Annual General Meeting Details​

​Date: Saturday, February 28, 2026
Time: 1:00 PM MST
Location: Online via Zoom
Registration details and the Zoom link will be provided to members in advance of the meeting.

What’s on the Agenda

In addition to regular AGM business, members will consider special resolutions related to CMS’s governance documents.
Regular Business
  • Financial statements
  • Board and management reports
  • Election of directors
  • Appointment of auditor
Special Business
  • Repeal and replacement of the Articles
  • Repeal and replacement of the Bylaws
Each special resolution requires approval by a two-thirds (2/3) majority.

Why These Changes Are Being Proposed​

The Board is responsible for ensuring CMS is governed in a way that is:
  • Clear and transparent
  • Aligned with current legislation
  • Consistent with cooperative best practices
The proposed Articles and Bylaws modernize our governance framework while keeping CMS’s purpose, values, and member rights intact.

What Is Not Changing

These updates do not affect:
  • CMS’s mission or cooperative values
  • Member voting rights
  • Membership benefits or services
  • CMS’s non-profit, member-owned status
They focus only on how the Co-op is governed, not on what the Co-op does.

Members are encouraged to review the AGM materials in advance, including:
  • Previous AGM Minutes
  • Proposed Articles and Bylaws
  • Summary of the changes
  • The full AGM agenda
Materials will be posted and shared prior to the meeting.
